This Terms of Use Agreement ("Agreement") is entered into by ALIMATCHES, (hereinafter referred to as "Alimatches," "the Company," "we," "us," or "our"), and You (referred to herein as "You," "Your," "Member," or "Registered Non-Member"), concerning Your access to and use of Alimatches and its affiliated services (collectively, the "Service"). By clicking "Sign Up" or "Take a Chance" on the registration forms, You agree to be bound by all the terms and conditions of this Agreement and acknowledge Your registration on Alimatches.

IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT CLICK ON THE "SIGN UP" OR "TAKE A CHANCE" BUTTON. ONCE THE BUTTON IS CLICKED, YOU ARE BOUND BY THE TERMS OF THIS AGREEMENT REGARDLESS OF WHETHER OR NOT YOU REGISTER FOR OR PURCHASE THE SERVICE.

Modification of Terms:

THE TERMS AND CONDITIONS OF THIS AGREEMENT ARE SUBJECT TO CHANGE BY ALIMATCHES AT ANY TIME, EFFECTIVE UPON NOTICE TO YOU. SUCH NOTICE SHALL BE DEEMED PROVIDED UPON OUR POSTING OF THE CURRENT VERSION OF THIS AGREEMENT ON THE WEBSITE OR UPON UPDATING THE APPLICATION WITH THE CURRENT VERSION OF THIS AGREEMENT.

1. Eligibility

Age Requirement: By registering on Alimatches, You represent and warrant that You are at least 18 years old.

Void Where Prohibited: Membership in the Service and registration on Alimatches is void where prohibited by law.

Authority and Capacity: By using Alimatches, You represent and warrant that You have the right, authority, and capacity to enter into this Agreement and to abide by all its terms and conditions.

Personal Use: You may not authorize others to use Your membership, and You may not assign or transfer Your account to any other person or entity.

2. Term and Termination

Duration: This Agreement will remain in full force and effect while You use Alimatches and/or are a Member.

Termination by You: You may terminate Your membership at any time, for any reason, effective upon receipt of Your written notice of termination by Alimatches customer support staff.

Termination by Company: Alimatches may terminate Your membership for any reason, with or without explanation, effective upon sending a notice to Your email address provided at registration.

Refund Policy: No Refunds: Once your payment is completed, no refunds will be issued under any circumstances. Please review your purchase carefully before making payment.

Expiration of Credits: Unused credits expire 180 days after their purchase date.

Survival of Terms: Notwithstanding termination, this Agreement will remain in full effect.

3. Non-Commercial Use by Members

Personal Use Only: Alimatches is intended for the personal use of individual Members and Registered Non-Members only.

Prohibited Activities: Organizations, companies, businesses, and other entities may not become Members and are not entitled to use the Service for any purpose. Illegal or unauthorized use of the Website/Application, including collecting usernames or email addresses for unsolicited email, framing, or linking to the Website/Application without authorization, is prohibited.

Legal Action: Such unauthorized activities will be investigated, and appropriate legal action may be taken, including civil, criminal, and injunctive remedies.

Restrictions: You agree not to create any databases, websites, applications, software, legal entities, or services that compete with Alimatches. You agree not to use the Website/Application for commercial purposes, send or receive funds through the Website/Application, or create accounts with fake usernames. You agree not to receive payment for using the Website/Application and its services.

4. Proprietary Rights in Content

Ownership: Alimatches owns, licenses, or otherwise retains all intellectual property rights in the Website/Application and the Service.

Rights Include: Database rights, copyrights, design rights (registered or unregistered), patents, trademarks (registered or unregistered), and other similar rights worldwide.

Restrictions: Except for information in the public domain or for which You have written permission, You may not copy, modify, publish, transmit, distribute, perform, display, or sell any proprietary information.

5. Content Posted on Alimatches

Review and Deletion of Content

Alimatches may review, store, and delete any content, messages, photos, videos, audio and video calls, or profiles ("Content") that violate this Agreement or may be offensive, illegal, or violate the rights of others.

Responsibility for Content

You are solely responsible for the Content that You publish or display ("post") via the Website/Application or transmit to other Members.

License Grant

By posting Content to any public area of the Website/Application, You automatically grant Alimatches an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, distribute, and create derivative works from such Content.

Prohibited Content

Content that is illegal or prohibited on the Website/Application includes, but is not limited to:

Content promoting racism, bigotry, hatred, or physical harm against any group or individual. Harassment or advocacy of harassment of another person. Transmission of "junk mail," "chain letters," or unsolicited mass mailing or "spamming." Defamatory, false, misleading, or illegal activities promoting content. Pirated software, copyrighted material without permission, or links to such materials. Restricted or password-only access pages or hidden pages or images. Inappropriate public displays involving nudity, bestiality, pornography, graphic violence, or criminal activity. Material exploiting people under the age of 18 in a sexual or violent manner or soliciting personal information from anyone under 18. Instructional information about illegal activities. Solicitation of passwords or personal identifying information for commercial or unlawful purposes. Commercial activities and sales without prior written consent from Alimatches.

Compliance with Laws

You must use the Service in a manner consistent with all applicable laws and regulations.

Profile Restrictions

You may not include in Your profile any telephone numbers, street addresses, last names, URLs, or email addresses.

You may not include in Your correspondence with other Members any URLs, email addresses, or telephone and fax numbers.

However, You may exchange email addresses based on Your final consent and liability.

You may not engage in advertising or solicitation of other Members to buy or sell products or services through the Service.

You may not transmit chain letters or junk email to other Members.

Using information obtained from the Service to harass, abuse, or harm another person is prohibited.

Alimatches reserves the right to restrict the number of emails a Member may send in a 24-hour period.

You may not collect data from Alimatches through automated means (bots, spiders, scrapers) or by creating fake user accounts.

Manual collection of data from authorized zones is also prohibited.

To ensure the quality of the Service, Your communication through the Website/Application may be recorded.

Alimatches reserves the right to investigate and take appropriate legal action against anyone who violates this Section, including removing offending communication and terminating membership.

6. Co-Registration

By becoming a Member, You agree that You might be registered on Alimatches's partner websites/applications. By using our services, You agree to their Terms and Conditions, Privacy Policy, and other regulations.

7. Copyright Policy

Prohibited Actions: You may not post, distribute, or reproduce any copyrighted material, trademarks, or proprietary information without prior written consent from the owner.

Infringement Notification: If You believe that Your work has been copied and posted on the Service in a way that constitutes copyright infringement, please supply Alimatches's copyright agent with:

An electronic or physical signature of the person authorized to act on behalf of the copyright owner. A description of the copyrighted work claimed to be infringed. A description of where the infringing material is located on the Website/Application. Your address, telephone number, and email address. A statement by You that You have a good faith belief that the disputed use is not authorized. A statement under penalty of perjury that the information is accurate and You are authorized to act on behalf of the owner.

8. Member Disputes

You are solely responsible for Your interactions with other Members/Registered Non-Members.

Alimatches is not responsible for what happens between members.

Alimatches reserves the right, but has no obligation, to monitor disputes between Members/Registered Non-Members.

9. Privacy Policy

Use of the Website/Application and/or the Service is also governed by Alimatches's Privacy Policy.

Alimatches does not guarantee that Your use of the Service will be secure, uninterrupted, or error-free.

Alimatches disclaims liability for connectivity and availability issues.

10. Disclaimers

"As Is" Basis: Alimatches provides the Service on an "as is" basis and grants no warranties of any kind, expressed, implied, or statutory.

No Guarantees: Alimatches cannot guarantee that each Member is at least the required minimum age.

Unauthorized Users: It is possible that unauthorized users may post or transmit offensive materials, and You may be involuntarily exposed to such materials.

Personal Information: Others may obtain personal information about You due to Your use of the Service. Alimatches is not responsible for the use of any personal information that You disclose.

Acts of Other Members: Alimatches disclaims all liability for the acts or omissions of other Members or users (including unauthorized users).

Technical Issues: Alimatches is not responsible for any problems or technical malfunction of telephone networks, computer systems, servers, providers, equipment, software, or failure of email due to technical problems or traffic congestion.

Limitation of Liability: Under no circumstances will Alimatches be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Website/Application or the Service.

11. Suppliers

Third-Party Services: Alimatches may purchase services from various third parties ("Suppliers") to provide the Service.

Independent Contractors: Suppliers are independent contractors and not agents or employees of Alimatches.

Liability: Alimatches is not responsible for the willful or negligent acts and/or omissions of any Supplier.

Services Provided by Suppliers Include:

Providing accurate and legitimate information for Member registration. Providing full, correct, and quality translation of correspondence. Providing additional services as per agreements.

Additional Services: Any additional services requested by Members may be processed by Suppliers but are not automatically granted.

Disclaimer: Alimatches is not responsible for the quality of any additional services provided by Suppliers.

12. Members

Relationships Between Members: Alimatches does not influence relationships between Members.

Deactivation of Profiles: Profiles may be deactivated under certain circumstances, including:

Member No Longer Interested: Alimatches will not issue any refunds to Correspondents under any circumstances, regardless of the review of correspondence or interactions.

Member Requested Deletion: Correspondents are not entitled to any information or refund under any circumstances, including when a Member requests profile deletion for personal reasons.

Member Found a Match: No refund is entitled if a Member has found a match not involving the Correspondent, under any circumstances.

Inappropriate Activities: No refunds will be issued, even if a Member reports another Member's inappropriate activities with evidence.

Scam or Illegal Activities: Profiles may be deleted if a Member is found on anti-scam sites or involved in illegal activities.

Compliance with IMBRA: Alimatches operates in full compliance with the International Marriage Broker Regulation Act (IMBRA).

13. Rights of Registered Non-Members/Purchase of Membership/Additional Purchases

Trial Period:

Upon registering, a Registered Non-Member has 15 days to purchase a membership ("Trial Period").

During the Trial Period, access is granted to:

Browsing Member profiles. Inclusion in Alimatches's database. Ability to make changes to Your profile. Ability to read messages. Ability to respond to messages from Members with a positive account balance. Ability to purchase membership.

Post-Trial Period:

After the Trial Period ends, you will receive a renewal notification via email, and you can follow the website instructions to renew your membership.

The profile will be deactivated after a certain period following the end of the Trial Period if no membership is purchased.

Membership Renewal:

Purchased membership will remain active until canceled by you.

Each time your membership ends and needs to be renewed, you will receive a notification via email.

To change or terminate your membership, please contact customer support at info@alimatches.com.

Currently, Alimatches does not support automatic renewals, and you will be notified via email when it’s time to renew.

If payment is not received upon renewal, Alimatches may terminate or suspend Your membership.

Please note that the automatic renewal policy may be subject to change at any time by Alimatches, and you will be notified of any such changes in advance.

Termination:

The Company may terminate Free Membership at any time with or without reason or notice.

Virtual Gifts:

May be awarded virtual gifts with no monetary value. Gifts cannot be sold, transferred, or exchanged for cash or other goods.

No Ownership Rights:

Members have no property, proprietary, intellectual property, ownership, or monetary interest in Gifts or Credits.

Prohibited Actions:

Cannot purchase, sell, barter, or trade any Gifts or Credits.

Company Rights:

Company may modify or terminate Gifts at its discretion. Unused Gifts and Credits will be forfeited upon account termination.

Deactivation:

Company reserves the right to deactivate a Member for any reason. Accumulated Diamonds, Gifts, or Credits will be forfeited upon deactivation.

14. Limitation of Liability

No Indirect Damages: Alimatches will not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits.

Expense Responsibility: Alimatches is not responsible for any expenses related to communications outside of our services (e.g., travel, deliveries, meetings).

Maximum Liability: Alimatches's liability will always be limited to the amount paid by You for the Service during the term of membership.

15. U.S. Export Controls

Compliance: Software from the Website/Application is subject to United States export controls.

Prohibited Downloads: No Software may be downloaded or exported to certain countries or individuals on specific U.S. government lists.

Representation: By downloading or using the Software, You represent that You are not in, under the control of, or a resident of any such country or on any such list.

16. Disputes

Jurisdiction: Any dispute or claim relating to Your visit to the Website or to products or services will be resolved by binding arbitration under the LCIA Rules.

Arbitration Details:

Number of arbitrators: Three.

Location: Hong Kong or the United States.

Language: English.

Governing Law: The substantive law of the country of incorporation of the Company.

Class Action Waiver:

Disputes will be conducted only on an individual basis. No class, consolidated, or representative actions are allowed.

Injunctive Relief:

Both parties may bring suit in court to enjoin infringement or misuse of intellectual property rights.

Dispute Resolution Mechanism:

You will attempt to resolve all disputes through communication with Alimatches's customer service.

Chargebacks:

Should You chargeback any transactions, Alimatches may disclose private communications to prove the validity of charges.

17. Indemnity

Hold Harmless: You agree to indemnify and hold Alimatches, its subsidiaries, affiliates, officers, agents, and employees harmless from any loss, liability, claim, or demand.

Scope: Includes reasonable attorney's fees, arising from:

Use of the Service in violation of this Agreement.

Any Content You submit that infringes on third-party rights.

Any breach of representations and warranties set forth.

Applicability: This indemnity applies without regard to the negligence of any party.

This Agreement, accepted upon use of the Website/Application and further affirmed by becoming a Member and/or Registered Non-Member of the Service, contains the entire Agreement between You and Alimatches regarding the use of the Website/Application and/or the Service.

Severability: If any provision of this Agreement is held invalid, the remainder shall continue in full force and effect.

Note

Alimatches is not responsible for any interactions or events that occur between members. Members are solely responsible for their interactions with other Members both online and offline.
